Terms of Service

These Terms of Service ("Terms") govern your access to and use of LanguageBids ("Service," "we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating an account, accessing the Service, or using any features, you agree to these Terms, our Privacy Policy, our Cookie Policy, and all applicable laws and regulations. If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

LanguageBids is a procurement intelligence platform that aggregates public procurement opportunities for translation and interpretation services. We compile information from various government and institutional sources and present it in a searchable format. The Service includes:

• Access to procurement opportunity listings (RFPs, RFQs, RFIs, RFSOs)
• Search and filtering tools
• Pipeline management features
• Email notifications and deadline reminders
• Contact information and opportunity metadata

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account by providing accurate and complete information. You must be at least 18 years old and legally able to enter into binding contracts.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized access or security breach. We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any reason at our sole discretion, with or without notice.

4. Subscription Plans and Billing

4.1 Subscription Plans

LanguageBids offers subscription tiers that may include Free, Starter, Professional, and Enterprise access. Current pricing, billing periods, and included features are shown on the Pricing page and again at checkout.

• Free: limited access to sanitized opportunity previews with buyer details and documents withheld.
• Starter: core opportunity discovery, search and filtering, buyer context, bookmarks, selected alerts, and pipeline tools.
• Professional: expanded opportunity data, document access where available, advanced workflow tools, exports, and additional AI-assisted features.
• Enterprise: custom commercial terms, team or organization support, and additional services as agreed with LanguageBids.

If you do not subscribe after a trial or cancel a paid plan, your account reverts to Free tier with restricted access.

We reserve the right to modify pricing with 30 days' notice. Price changes will not affect your current subscription period but will apply upon renewal.

4.2 Free Trial

LanguageBids may offer a free trial for selected paid plans. Trial availability, trial length, eligible plans, and access during a trial are discretionary and may change without notice. A valid payment method may be required to start a trial. If you provide payment information, you authorize LanguageBids and Stripe to charge your payment method for the selected subscription when the trial ends unless you cancel before the trial end date.

Free trials are limited to one per customer, one per organization, and one per payment method or payment identity. Creating more than one account, or using a different email address, company name, or payment card, does not entitle you to additional free trials.

Eligibility and abuse: LanguageBids may decline to provide, or may end, a free trial at its sole discretion if we determine that a registration is associated with a customer, organization, payment identity, device, usage pattern, or other account information that has already received or abused a trial. Ending a free trial under this section limits account access to Free-tier visibility; it does not delete your account, and you may subscribe at any time.

Individual trials: LanguageBids may extend, shorten, pause, or revoke any individual trial at its sole discretion. No user is entitled to any particular trial length, and any accommodation or manual extension does not create a right to future trials or extensions.

4.3 Billing and Payment

All payments are processed securely through Stripe, Inc. We do not store your complete credit card information. Subscriptions are billed automatically:

• Monthly plans: Billed monthly on the same day each month
• Annual plans: Billed once per year on the subscription anniversary

All fees are in U.S. Dollars and are non-refundable except as required by law. You are responsible for all applicable taxes. If a payment fails, we will attempt to process it again and may reduce your access to Free-tier visibility during the payment-recovery period. Continued payment failures may result in suspension or termination of your account.

4.4 Cancellation Policy

You may cancel your subscription at any time.

Monthly Subscriptions:

• Cancel anytime before your next billing date
• You retain access until the end of your current billing period
• No prorated refunds for partial months
• Example: If you cancel on December 15 and your billing date is December 1, you keep access until December 31

Annual Subscriptions:

• Cancel anytime before your renewal date
• You retain access until the end of your current annual period
• No prorated refunds for unused months
• Example: If you cancel 3 months into an annual subscription, you keep access for the remaining 9 months but receive no refund

To cancel, log into your account and manage your subscription through the Stripe billing portal, or contact support@languagebids.com. Cancellations take effect at the end of your current billing period.

4.5 Plan Changes

You may request a plan change from your account. Upgrades generally take effect immediately and may result in a prorated charge for the remainder of your current billing period. Self-service downgrades generally take effect at the end of your current billing period and do not create a refund or credit for the current period. LanguageBids may apply a plan change immediately in individual cases at its discretion.

4.6 Promotional Codes and Coupons

We may offer promotional codes that provide trial extensions or subscription discounts. Promotional codes are subject to the specific terms stated at the time of issuance, including expiry dates, usage limits, and eligible plans. Codes cannot be combined unless explicitly stated. We reserve the right to discontinue any promotional program at any time without notice.

4.7 Preview Links

LanguageBids may generate preview links for sales, demonstration, marketing, partner, or support purposes. Anyone with a preview link may view a redacted, account-free preview of selected opportunity information. Buyer identity, source documents, and other restricted details may be withheld. Preview links expire on a schedule set by LanguageBids and may be revoked at any time. Preview links are not a subscriber feature and do not grant rights in the underlying opportunity data.

5. AI-Assisted Features

5.1 Description

Depending on your subscription plan, the Service may offer AI-assisted features, including:

• AI-generated summaries of procurement opportunities
• AI fit scoring against your company service profile
• Watchlist-based pipeline tracking with AI assistance
• AI-assisted analysis of RFP/ToR documents you upload, including extraction of mandatory requirements and evaluation criteria
• Auto-generated compliance matrices
• AI-drafted proposal sections and an automated red-team review of drafted content

5.2 Availability

AI features are powered by inference infrastructure that LanguageBids operates. This infrastructure can be temporarily unavailable, degraded, or slower than other parts of the Service, including during maintenance, high demand, or upstream outages. We do not guarantee that AI features will be available at any given time, and we do not offer an uptime commitment specific to AI features separate from the general disclaimers in Section 13 (Disclaimer of Warranties). If an AI feature is unavailable, the underlying opportunity data, documents, and other non-AI features of the Service remain accessible.

5.3 Accuracy — Human Review Required

You are solely responsible for:

• Independently reviewing and verifying any AI-generated content before relying on it
• Confirming that any AI-extracted requirement, compliance item, or deadline matches the original source document
• Editing, fact-checking, and approving any AI-drafted proposal content before submitting it to a buyer
• Ensuring your final submission complies with the issuing agency's actual requirements, regardless of what an AI feature identified or omitted

LanguageBids is not responsible for any consequences — including a rejected, disqualified, or unsuccessful bid — resulting from reliance on AI-generated content without independent review.

5.4 Documents You Upload

If you upload an RFP, ToR, or other document for AI analysis, you represent that you have the right to upload and share that document and that doing so does not violate any third party's rights or any confidentiality obligation you hold. Uploaded files are scanned for malware before they are processed or stored, and files that fail this scan are rejected. You retain ownership of documents you upload; you grant LanguageBids a limited license to process them solely to provide the AI features you request.

6. No Guarantee of Accuracy or Completeness

Specifically, we do not guarantee:

• The accuracy of opportunity details, deadlines, contact information, or requirements
• That all available procurement opportunities are included in our database
• That opportunities have not been cancelled, modified, or amended since being posted
• That the information matches the original source documents
• That opportunities are still open or accepting submissions
• That you will be eligible to bid on any opportunity

YOU ARE SOLELY RESPONSIBLE FOR:

• Verifying all information directly with the issuing agency before submitting any proposal
• Reviewing original source documents and official procurement websites
• Ensuring you meet all eligibility and qualification requirements
• Meeting all deadlines and submission requirements
• Complying with all applicable laws and regulations

The Service is an informational tool only. It does not constitute legal, financial, or bidding advice. You should consult with qualified professionals before making any business decisions.

7. Changes to Information and Service

WE RESERVE THE RIGHT TO MODIFY, SUSPEND, OR DISCONTINUE ANY PART OF THE SERVICE AT ANY TIME WITHOUT NOTICE.This includes but is not limited to:

• Adding, removing, or modifying opportunity listings
• Changing features, functionality, or user interface
• Updating pricing or subscription plans
• Removing or restricting access to certain features
• Discontinuing the Service entirely

Procurement opportunity information can change at any time. Deadlines may be extended or shortened, requirements may be modified, and opportunities may be cancelled without notice. We are not responsible for notifying you of such changes.

Service Discontinuation: If LanguageBids permanently discontinues the Service, paid subscribers will receive a prorated refund for the unused portion of their current subscription period, calculated from the date of discontinuation notice.

Force Majeure: LanguageBids shall not be liable for any failure or delay in performance arising from causes beyond our reasonable control, including but not limited to acts of God, war, civil disturbance, government action, labor disputes, third-party infrastructure failures, internet outages, or other events outside our reasonable control. Our obligations are suspended for the duration of any such event.

8. Email Notifications and Delivery

Email delivery depends on factors outside our control. You acknowledge that email is not a guaranteed method of communication and that you are solely responsible for monitoring deadlines and opportunities through the Service interface, regardless of whether you receive email notifications.

9. Limitation of Liability

This includes but is not limited to damages or losses resulting from:

• Missed procurement opportunities or bid deadlines
• Inaccurate, incomplete, or outdated information
• Inaccurate, incomplete, or unsuitable AI-generated content, including summaries, fit scores, compliance matrices, or proposal drafts
• Email delivery failures or delays
• Lost contracts, revenue, or business opportunities
• Reliance on information provided through the Service
• Service interruptions, errors, or bugs
• Unauthorized access to your account
• Any other use of or inability to use the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless LanguageBids, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Any proposals or bids you submit based on information from the Service
• Your breach of any representations or warranties

11. Acceptable Use Policy

You agree NOT to:

• Use automated systems (bots, scrapers, crawlers) to access the Service
• Attempt to gain unauthorized access to any part of the Service
• Share your account credentials with others
• Resell, redistribute, or commercialize any part of the Service
• Interfere with or disrupt the Service or its servers
• Use the Service for any illegal or unauthorized purpose
• Reverse engineer, decompile, or disassemble any part of the Service
• Remove or modify any copyright, trademark, or proprietary notices

Violation of this Acceptable Use Policy may result in immediate termination of your account without refund.

12. Intellectual Property

The Service, including its design, code, content, features, and functionality, is owned by LanguageBids and protected by United States and international copyright, trademark, and other intellectual property laws. The procurement opportunity information is compiled from public sources and remains subject to the original source's copyright and terms.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes only. This license does not include any rights to reproduce, distribute, or create derivative works.

13. Disclaimer of Warranties

We do not warrant that:

• The Service will meet your requirements or expectations
• The Service will be uninterrupted, timely, secure, or error-free
• The information provided will be accurate, reliable, or complete
• AI-generated content will be accurate, complete, or suitable for submission to any buyer
• Any errors or defects will be corrected
• The Service will help you win any contracts or opportunities

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in New York County, New York. You consent to the personal jurisdiction of such courts.

14.1 Informal Dispute Resolution

For claims under $10,000, we encourage informal dispute resolution by contacting support@languagebids.com before initiating any formal proceedings.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on this page with a new "Last Updated" date
• Sending an email notification to your registered email address

Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms. If you do not agree to the changes, you must cancel your subscription and stop using the Service.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and LanguageBids regarding the Service and supersede all prior agreements and understandings.
